BUSINESS ENTITY
Starting a business is a very important decision and our clients trust us for guidance. We offer a number of services when our clients are legally forming a business. We explain the business entity types, which include corporations (c-corp, s-corp, professional corporation, non-profit), limited liability companies, partnerships (general and limited), commercial trusts (business trusts), sole proprietorships, and other business entities. When assessing the business, we factor in the risk, indemnification, liability, employment, cost, maintenance, and many other issues that our clients face when forming a business. From our experience, our clients frequently are unaware that certain risks exist – potentially jeopardizing the business.
CORPORATE FORMALITIES
We understand that some businesses start with little or no legal advice. As a consequence, little has been done to ensure that the legal entity was in fact formed properly and corporate formalities have been followed. We provide a free assessment of the corporate/operating documentations and advise our clients what is needed. Our objective is to find and fill in the legal gaps of your business.

WILLS, TRUSTS, & ESTATE PLANNING
When it comes to estate planning, the Firm offers a number of services for individuals who are concerned about their estate. We carefully explain and recommend different options for our clients. Some individuals do not need any estate planning while others require a lot of attention.
CIVIL LITIGATION
The Firm selects only a few civil litigation matters. We provide legal representation in court, arbitration, and small claims, where possible. We assess the case, draft demand letters, litigate, negotiate a settlement, and more.
COMPLIANCE
Many of our clients operate in heavily regulated industries and are in need of a legal resource. We offer guidance and interpretation in various industries such as electronic waste, data security, recycling, automotive, parts, and more.
PROBATE & ESTATE ADMINISTRATION
When a loved one passes, they frequently leave assets and liabilities that need to be addressed. We specialize in probate proceedings and estate administration – regardless of whether it’s contested or uncontested. We also specialize in probate in context of other countries (i.e. will drafted abroad but death occurred in California) and much more.

The Firm not only provides the necessary legal resources but provides business infrastructure consulting. It is one thing to provide a drafted contract, policy, or address an issue, but properly “delivering” it is a totally different issue – whether to a client, employee, or a vendor. NON-PROFITS & CHARITIES
The Firm was founded on the premise that it must give back to the community. We address the complete spectrum of needs of a non-profit organization. We assess the purpose of the organization, the donation infrastructure, as well as the operations. We apply for a non-profit status with the IRS and FTB and address any regulations by the DOJ. We pick up where you left off!
STARTUPS
Start-ups and specialty businesses are businesses that bring novel ideas to the community. Since they are new, they are not typically addressed by the existing and well-established legal system. As such, many start-ups are in legal blind spots. Since the idea is new – so is the law. Risk is a huge factor, and proper legal analysis and opinion are a must. Generally, most businesses require a business license, and few can operate without a license. Businesses engaged in heavily regulated industries require a special business license.

In context of estate planning, the firm specializes in transfers of ownership from one individual or entity to another. There are many considerations upon transfer of real property, especially taxation and reassessment.
